TERMS OF SERVICE

OVERVIEW

This website and online store are operated by Fine Horizons Pty Ltd (ABN 67 624 445 272, ACN 624 445 272), trading as LayerOne.

Throughout these Terms of Service, the terms “LayerOne”, “we”, “us” and “our” refer to Fine Horizons Pty Ltd trading as LayerOne.

LayerOne operates this website and online store, including the related information, content, features, tools, products and services made available through it (collectively, the “Services”). Our online store is powered by Shopify, which provides the ecommerce platform that enables us to offer the Services to you.

These Terms of Service, together with our Privacy Policy, Returns & Exchanges Policy and any other policies referenced in these Terms, explain your rights and responsibilities when accessing or using the Services.

By visiting, browsing, interacting with or purchasing through the Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree with these Terms, you should not use the Services.

Nothing in these Terms excludes, restricts or modifies any right or remedy available to you under the Australian Consumer Law or any other applicable law that cannot lawfully be excluded, restricted or modified.


SECTION 1 – ELIGIBILITY, ACCESS AND INFORMATION

You must be at least 18 years old, or have the consent and supervision of a parent or legal guardian, to place an order through the Services.

LayerOne currently allows customers to complete purchases using guest checkout. If customer-account functionality becomes available, you will be responsible for maintaining the confidentiality and security of your account credentials and for activity conducted through your account.

When using the Services or placing an order, you agree to provide information that is accurate, current and complete, including your name, email address, billing information, payment information and delivery address.

You must have the legal right to provide any information and payment method submitted through the Services.

You must not use another person’s identity, payment information or contact details without their permission.


SECTION 2 – PRODUCTS AND PRODUCT INFORMATION

We make reasonable efforts to ensure that product descriptions, measurements, images, colours, materials, pricing and other information displayed through the Services are accurate.

However, colours and product appearance may vary slightly depending on your screen, device settings, lighting and photography. Product measurements may also vary slightly due to the nature of garment manufacturing.

LayerOne undershirts are designed to help prevent or reduce visible sweat marks in the targeted underarm and upper-back areas. Individual results may vary depending on factors including fit, body shape, perspiration levels, activity, environmental conditions and how the product is worn and cared for.

LayerOne products are garments and are not medical devices, medical treatments or substitutes for professional medical advice, diagnosis or treatment. They are not intended to treat or cure hyperhidrosis or any other medical condition. Customers concerned about excessive sweating or another health issue should seek advice from a qualified healthcare professional.

You should review the product description, sizing information, care instructions and other relevant information before purchasing or using a product.

We may update product descriptions, specifications, images or availability from time to time. We may also discontinue products or limit the quantity available for purchase.

Nothing in this section limits any consumer guarantee, express warranty or other right available under the Australian Consumer Law.


SECTION 3 – ORDERS AND ORDER ACCEPTANCE

When you submit an order through the Services, you are making an offer to purchase the selected products.

Receiving an automated order confirmation does not necessarily mean that we have accepted your order. An order is accepted when we confirm acceptance, begin fulfilment or dispatch the products, whichever occurs first.

We may decline or cancel an order where reasonably necessary, including where:

• a product is unavailable;
• payment cannot be authorised or processed;
• the order information appears incomplete or inaccurate;
• there is a clear pricing, product-description or system error;
• we reasonably suspect fraud, unauthorised activity or misuse;
• the order exceeds applicable product limits;
• delivery is requested to an address we do not service; or
• accepting the order would breach applicable law.

If we cancel an order after payment has been received, we will refund the amount paid for the cancelled product or order using the original payment method.

Please review your order carefully before submitting it.

You may request an order cancellation or change by emailing hello@getlayerone.com as soon as possible. We will make reasonable efforts to accommodate requests received before dispatch, but we cannot guarantee that an order can be changed or cancelled once processing or fulfilment has begun.

If an order is successfully cancelled before dispatch, we will refund the applicable payment using the original payment method.

Once an order has been dispatched, any return or exchange will be handled in accordance with our Returns & Exchanges Policy and your rights under the Australian Consumer Law.

Products purchased through the Services are intended for personal or household use unless we agree otherwise in writing. You must not purchase products for unauthorised resale, redistribution or export.


SECTION 4 – PRICES, GST AND PAYMENT

Unless clearly stated otherwise, all prices displayed through the Services are in Australian dollars and include GST where applicable.

The price charged will be the price displayed at the time your order is submitted, subject to correction of an obvious pricing or system error.

We currently provide free standard shipping to Australian delivery addresses. Any optional paid shipping service, if offered, will be clearly displayed before you complete your purchase.

Prices, discounts and promotions may change without notice. Any change will not affect an order that we have already accepted, except where there has been an obvious error or where you agree to the change.

Promotions, discount codes and special offers may be subject to separate conditions, including expiry dates, product exclusions, minimum spending requirements or limits on use. Where promotional terms conflict with these Terms, the specific promotional terms will apply to that promotion.

You agree to provide accurate and complete payment and billing information.

You confirm that you are authorised to use the payment method submitted with your order and authorise us and our payment service providers to charge the total amount displayed at checkout.

Payments may be processed by Shopify Payments or other third-party payment providers. Your use of a particular payment method may also be subject to the provider’s terms and privacy policy.


SECTION 5 – SHIPPING AND DELIVERY

LayerOne currently accepts orders for delivery within Australia only.

We currently provide free standard shipping to Australian delivery addresses.

Available delivery methods, dispatch information and estimated delivery times will be displayed through the website, checkout or order confirmation.

All dispatch and delivery timeframes are estimates rather than guaranteed delivery dates. Delays may occur because of postal or courier disruptions, severe weather, natural disasters, incorrect delivery information, peak periods or events outside our reasonable control.

We will take reasonable steps to dispatch and deliver orders within the estimated timeframe and will provide assistance if an order is significantly delayed or appears to be lost.

You are responsible for providing a complete and accurate delivery address. Please contact us immediately if you identify an error. We cannot guarantee that an address can be amended once fulfilment has begun.

If a parcel is returned because the address supplied was incorrect, incomplete or inaccessible, we will contact you to discuss redelivery or another appropriate outcome. Additional delivery costs may apply, but these will be disclosed before the parcel is resent.

Risk in a product passes to you when it is delivered to the delivery address provided with your order, unless applicable law provides otherwise.

Ownership of the product passes to you once we have received full payment and the product has been delivered.

Nothing in this section excludes any rights you may have where we fail to supply products within a reasonable time or otherwise fail to meet a consumer guarantee.


SECTION 6 – RETURNS, EXCHANGES AND CONSUMER GUARANTEES

Returns, exchanges and our voluntary 30-day guarantees are governed by our Returns & Exchanges Policy.

Our First Product Guarantee and 30-Day Change-of-Mind Returns Policy are voluntary benefits provided in addition to your rights under the Australian Consumer Law.

Under the Australian Consumer Law, products come with automatic consumer guarantees, including that they will:

• be of acceptable quality;
• be fit for their disclosed or ordinary purpose;
• match their description;
• match any relevant sample or demonstration; and
• comply with any express promises made about them.

These consumer guarantees cannot be excluded, restricted or limited by these Terms, our Returns & Exchanges Policy or any other statement made by LayerOne.

Where a product has a major failure, you may be entitled to choose a refund or replacement and may also be entitled to compensation for reasonably foreseeable loss or damage.

Where a product has a minor failure, we may be entitled to provide an appropriate remedy within a reasonable time.

Your rights regarding faulty, damaged, unsafe, misdescribed or otherwise non-compliant products are not limited to 30 days and do not depend on the product being unused or in its original packaging.

For change-of-mind returns, the eligibility requirements and conditions stated in our Returns & Exchanges Policy apply.

SECTION 7 – PRODUCT USE AND CARE

You are responsible for following the care, washing, drying, sizing and use instructions supplied with the product or displayed through the Services.

Damage caused by misuse, alterations, failure to follow care instructions, unreasonable wear, incorrect washing or use outside the product’s intended purpose may not constitute a product fault.

This section does not apply where a product fails to meet a consumer guarantee under the Australian Consumer Law.


SECTION 8 – INTELLECTUAL PROPERTY

Unless stated otherwise, the Services and their contents are owned by or licensed to LayerOne.

This includes, without limitation:

• the LayerOne name and branding;
• logos and trade marks;
• product names and designs;
• website text and copy;
• photographs and graphics;
• videos and audio;
• illustrations and diagrams;
• product descriptions;
• page layouts;
• software and code;
• advertisements and promotional materials; and
• the selection and arrangement of website content.

These materials are protected by Australian and international intellectual property laws.

You may access and use the Services for lawful personal and non-commercial purposes.

Except where permitted by law or with our prior written permission, you must not:

• reproduce, copy or republish our content;
• modify or create derivative works from our content;
• distribute, sell or commercially exploit our content;
• use our branding, images or product content to represent another business;
• remove copyright, trade mark or ownership notices; or
• use our intellectual property in a way that suggests sponsorship, endorsement or affiliation.

LayerOne’s names, logos, slogans and product branding must not be used without our prior written permission.

Shopify’s names, logos and branding remain the property of Shopify or its licensors.

All other third-party names, logos and trade marks belong to their respective owners.


SECTION 9 – OPTIONAL TOOLS AND THIRD-PARTY SERVICES

The Services may provide access to tools, applications, payment services, review platforms, analytics services or other features supplied by third parties.

These third-party services are not necessarily controlled by LayerOne and may be subject to separate terms and privacy policies.

To the extent permitted by law, we are not responsible for the independent acts, omissions, content, security or availability of third-party providers.

Before using a third-party service, you should review the terms and policies that apply to it.

Nothing in this section limits any responsibility that cannot lawfully be excluded.


SECTION 10 – THIRD-PARTY LINKS

The Services may contain links to websites or resources operated by third parties.

A link does not necessarily mean that we endorse or control the third-party website, business, information, product or service.

We are not responsible for the content, availability, privacy practices or independent conduct of third-party websites.

You should review the applicable terms, privacy policies and purchasing conditions before interacting or transacting with a third party.

Questions or complaints relating solely to a third-party product or service should generally be directed to that third party, unless applicable law provides otherwise.


SECTION 11 – RELATIONSHIP WITH SHOPIFY

LayerOne is powered by Shopify, which enables us to provide the Services to you.

However, any sales and purchases made through our online store are made directly between you and LayerOne.

Shopify is not the seller of LayerOne products and is not responsible for fulfilling orders, providing customer service or resolving product claims relating to purchases from LayerOne.

To the extent permitted by law, Shopify and its affiliates are not responsible for injury, damage or loss arising from products purchased directly from LayerOne.

Nothing in this section limits any rights or remedies that cannot lawfully be excluded.


SECTION 12 – PRIVACY

We collect, handle, use and disclose personal information in accordance with our Privacy Policy and applicable privacy law.

By using the Services, you acknowledge that you have had an opportunity to review our Privacy Policy.

Because our online store is hosted by Shopify, Shopify processes certain information relating to your access to and use of the Services in order to operate and improve the ecommerce platform.

Information may also be processed by payment providers, delivery providers, analytics platforms, marketing services and other service providers used to operate LayerOne.

Some service providers may store or process information outside Australia. Further information is provided in our Privacy Policy.

SECTION 13 – REVIEWS, FEEDBACK AND USER CONTENT

If you submit a review, photograph, video, testimonial, suggestion, comment or other content to LayerOne, you confirm that:

• the content is accurate and reflects your genuine experience or opinion;
• you own the content or have permission to submit it;
• the content does not infringe another person’s intellectual property, privacy or other rights;
• you have disclosed any incentive, discount, free product or compensation connected with the submission;
• the content is not misleading, defamatory, unlawful, abusive, obscene or malicious; and
• the content does not contain harmful code.

You grant LayerOne a non-exclusive, worldwide, royalty-free licence to reproduce, publish, display, adapt and use the submitted content for operating, improving and promoting LayerOne and the Services.

This licence does not transfer ownership of your content to us.

Where reasonably possible, we will not materially alter the meaning of a customer review or falsely attribute statements to a customer.

We may moderate, refuse or remove content where we reasonably believe it is unlawful, misleading, fraudulent, offensive, irrelevant, technically harmful or inconsistent with these Terms.

We are not required to publish every submission, pay compensation for unsolicited feedback or respond to every submission.


SECTION 14 – ERRORS, INACCURACIES AND AVAILABILITY

Occasionally, information displayed through the Services may contain an error, inaccuracy or omission relating to matters such as:

• product descriptions;
• prices;
• promotions;
• availability;
• shipping information;
• estimated delivery times; or
• product images or specifications.

We may correct errors or update information when identified.

Where an obvious error materially affects an order, we may contact you to explain the issue and offer an appropriate option, which may include proceeding with corrected information or cancelling the affected product for a full refund.

We will not use this section to avoid an order merely because the agreed price later becomes less commercially favourable to us.


SECTION 15 – PROHIBITED USES

You may use the Services only for lawful purposes.

You must not use the Services to:

• breach any applicable law or regulation;
• infringe our rights or the rights of another person;
• submit false, fraudulent or misleading information;
• impersonate another person or business;
• harass, threaten, abuse, defame or harm another person;
• upload or transmit viruses, malware or harmful code;
• interfere with the security or operation of the Services;
• attempt to gain unauthorised access to systems or information;
• collect personal information about other users without permission;
• conduct fraudulent payment activity;
• send spam or unauthorised marketing;
• copy or commercially exploit the Services without permission; or
• use automated systems to access the Services in a manner that places an unreasonable burden on our systems or circumvents security controls.

This section does not prohibit legitimate search-engine indexing that complies with our robots.txt instructions, or another use authorised by us in writing.

We may restrict or suspend access where we reasonably believe that a person has breached these Terms, engaged in fraudulent or unlawful conduct or created a security risk.


SECTION 16 – SUSPENSION AND TERMINATION

You may stop using the Services at any time.

We may suspend or terminate access to all or part of the Services where reasonably necessary, including where:

• you materially breach these Terms;
• we reasonably suspect fraud, misuse or unlawful activity;
• your conduct threatens the security or operation of the Services;
• we are required to do so by law; or
• the Services or relevant features are discontinued.

Where reasonably practicable, we will provide notice before suspending or terminating access.

Termination does not affect rights, obligations or liabilities that arose before termination.

Sections that are intended by their nature to continue after termination will remain in effect, including provisions concerning intellectual property, privacy, liability, payment obligations and dispute resolution.


SECTION 17 – SERVICE AVAILABILITY AND WARRANTIES

We aim to keep the Services accurate, secure and reasonably available, but we do not guarantee that access will always be uninterrupted or free from temporary errors.

The Services may occasionally be unavailable because of maintenance, upgrades, outages, security incidents or events outside our reasonable control.

To the maximum extent permitted by law, any warranty or condition that is not expressly stated in these Terms is excluded.

However, nothing in these Terms excludes, restricts or modifies:

• the consumer guarantees contained in the Australian Consumer Law;
• any express warranty made by LayerOne;
• liability for fraud or fraudulent misrepresentation;
• liability for personal injury caused by negligence where that liability cannot lawfully be excluded; or
• any other right, remedy, condition, warranty or liability that cannot lawfully be excluded.


SECTION 18 – LIMITATION OF LIABILITY

Nothing in these Terms limits or excludes liability where doing so would be unlawful.

Subject to the preceding paragraph and to the maximum extent permitted by law, LayerOne is not liable for indirect or consequential loss that was not reasonably foreseeable when the relevant contract was formed.

We are not responsible for loss caused by:

• your failure to follow product care or use instructions;
• misuse, alteration or unreasonable treatment of a product;
• inaccurate information supplied by you;
• unauthorised use of your payment method or account caused by your failure to protect your information;
• independent third-party services outside our reasonable control; or
• events outside our reasonable control.

Where the Australian Consumer Law permits liability for a service supplied to a non-consumer to be limited, our liability may, at our option, be limited to resupplying the service or paying the reasonable cost of having the service supplied again.

This section does not reduce any entitlement to a repair, replacement, refund, compensation or other remedy under the Australian Consumer Law.


SECTION 19 – INDEMNITY

To the extent permitted by law, you are responsible for direct loss reasonably suffered by LayerOne as a result of:

• your serious or deliberate breach of these Terms;
• your fraudulent or unlawful conduct;
• your infringement of another person’s intellectual property or privacy rights; or
• content submitted by you that breaches these Terms.

This obligation applies only to the extent that the relevant loss was caused or contributed to by your conduct.

It does not require you to indemnify LayerOne for loss caused by LayerOne’s own negligence, breach of law, fraud or misconduct.


SECTION 20 – SEVERABILITY AND WAIVER

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be read down to the minimum extent necessary or severed where reading it down is not possible.

The remaining provisions will continue in effect.

If we do not immediately enforce a right under these Terms, this does not mean that we waive that right.

A waiver is effective only where it is clearly given and applies only to the particular circumstances for which it was provided.


SECTION 21 – ENTIRE AGREEMENT AND ASSIGNMENT

These Terms, together with the policies and conditions expressly incorporated into them, form the agreement between you and LayerOne regarding your use of the Services.

They do not exclude representations, consumer guarantees or other rights that cannot lawfully be excluded.

You must not transfer your rights or obligations under these Terms without our prior written consent, which will not be unreasonably withheld where the proposed transfer does not prejudice us.

We may transfer our rights and obligations as part of a genuine business sale, restructuring or transfer of the LayerOne business, provided that doing so does not materially reduce your existing rights.


SECTION 22 – GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of New South Wales and the Commonwealth of Australia.

You and LayerOne submit to the non-exclusive jurisdiction of the courts and tribunals of New South Wales and any court entitled to hear an appeal from them.

Nothing in this section prevents a consumer from relying on rights or bringing a claim in another jurisdiction where applicable law permits.

If you have a concern or dispute, please contact us first at hello@getlayerone.com so that we can attempt to resolve it promptly.

You may also have the right to contact NSW Fair Trading, the Australian Competition and Consumer Commission or another relevant consumer-protection body.


SECTION 23 – CHANGES TO THESE TERMS

We may update these Terms to reflect changes to:

• our business or Services;
• applicable laws or regulatory requirements;
• technology, security or payment systems;
• shipping, products or store operations; or
• our third-party providers.

The current version will be displayed on this page together with its effective date.

Material changes will apply prospectively from the stated effective date and, where reasonably required, we will provide notice through the website, email or another appropriate method.

Changes will not retrospectively remove rights that have already arisen under an accepted order or applicable law.

Your continued use of the Services after revised Terms take effect constitutes acceptance of the revised Terms.
